Business Valuation
Independent opinions of value prepared to professional standards, with the assumptions stated plainly and every discount supported.
Valuation, transactions, succession, structure and private client work: partner-led, and informed by already knowing how the books were built. Five specializations.
A sale, a buy-in, a generational handoff or a restructuring happens once, is largely irreversible, and is usually the single largest financial event in an owner’s life. There is no learning curve available and no second attempt, which is why these engagements are led by a partner from the first meeting rather than delegated after it.
The advantage of advising a client we already serve is that the work does not start with three weeks establishing what is true. We know how revenue is recognized, why the inventory reserve is what it is, and which of the add-backs a buyer will accept, because we have been looking at them all year.
We do not broker transactions and we do not take contingent fees on valuations. That matters: an advisor paid on whether the deal closes is not an advisor telling you to walk away from it. Our fee is the same whichever way you decide, and so is our advice.
These engagements run alongside your attorney and wealth advisor rather than around them. Tax analysis, modeling and diligence are ours; documents, agreements and the corporate record are theirs. Work sequenced any other way produces papers that fail to achieve what everyone assumed they would.
Succession, valuation and transaction work almost always run together. Structure is usually the step that should have come first.
Independent opinions of value prepared to professional standards, with the assumptions stated plainly and every discount supported.
Quality of earnings and financial diligence for deals under $100M, with the adjustments identified before the other side finds them.
The multi-year work of moving a business to the next owner, whether that is a child, the management team or a buyer.
Whether the entity type, the state of formation and the ownership structure still serve a business that has changed a great deal since they were chosen.
Individual, trust and estate work for owners and their families, coordinated with the business rather than prepared in isolation from it.
Every one of these begins with an assessment that stands on its own, whatever you decide to do next.
First conversation
What the work is for determines the standard, the scope and the audience. Getting that wrong makes everything downstream worthless.
Fixed fee, written
Readiness, exposure or value, established first, in writing, so the decision that follows is made on evidence rather than instinct.
After tax, side by side
Routes compared with real numbers, including the cost of getting there and the one where you do nothing at all.
Through to completion
We run the tax analysis and the modeling; counsel handles documents. Sequenced so each step is valid at the moment it happens.
Most advisory engagements start with a symptom rather than a service line: an offer, a deadline, a family question. Start there.
