Quality of earnings, working capital analysis and buy- or sell-side diligence for lower-middle-market transactions, run by people who have seen where these deals actually break.
Quality of earnings reports, working capital analysis, buy-side and sell-side financial due diligence, purchase price allocation and post-close integration support.
A buyer’s quality of earnings analysis will find the owner’s personal expenses running through the profit and loss, the revenue recognized a quarter early, the related-party lease priced below market, and the customer concentration nobody mentioned in the teaser. Each of those is survivable when disclosed early and corrosive when discovered late.
On the sell side, we run the analysis before the process starts. You then negotiate from a normalized number you can support, rather than defending a number the buyer has already reduced twice. Sell-side diligence is the single highest-return spend in most owner-led transactions.
On the buy side, we work out what you are actually acquiring: sustainable earnings rather than reported earnings, the real working capital requirement across a full cycle, and the costs that arrive the day after closing and were never in the model.
Working capital is where more lower-middle-market deals stall than any other single term. The peg, the definition of what is included, and the true-up mechanic are worth getting precisely right in the letter of intent instead of arguing about them ninety days after close.
We work alongside your investment banker and counsel. We do not broker transactions, so the analysis carries no interest in whether the deal closes.
Normalized EBITDA with every adjustment identified, quantified and supported, including the ones that reduce it.
A defensible peg built from a full twelve-month cycle, with the definition drafted so the true-up is arithmetic rather than argument.
The buyer’s analysis, run on your side first, so nothing in diligence is a surprise to you.
Earnings sustainability, customer and supplier concentration, contract review support and the post-close cost base.
Allocation across acquired assets for tax basis and financial reporting, modelled before signing where it affects the structure.
Opening balance sheet, true-up calculation, systems integration and the first close under the new ownership.
Timelines compress when a process is live. We staff for that, and we tell you honestly if the window is too short to do it properly.

Two to four weeks
Monthly financials, general ledger detail, contracts, payroll and customer data. Adjustments built from source records, not from management representation.
Discussed before issue
We walk you through the adjustments before the report is final, so you are never seeing an issue for the first time in a meeting with the other side.
Through to close
The final report, plus availability during negotiation when the other side’s advisor challenges a number.
These sit next to each other for a reason: most engagements draw on two or three of them at once.
Advisory overviewSell-side diligence eighteen months out is worth several times its fee. Twelve weeks out it is damage control.
